How ownership works

You buy the shares of the Indian company that owns the plant. That company keeps its power contract, land lease and approvals. We do the work on the ground before and after you buy.

  1. 1 · Introduction

    Call and KYC

We learn your goals, ticket size and country, then complete identity, beneficial-owner and source-of-funds checks.

  2. 2 · Mandate

    Agree what to look for

Size, power buyer, state, tariff range and target return, set out in a fixed-fee advisory agreement.

  3. 3 · Shortlist

    Screen plants for sale

We screen plants against your mandate and share dossiers with meter, payment and land records.

  4. 4 · Diligence

    Check everything

Independent engineer, legal and land review, payment history, contract consents and a model built from real data.

  5. 5 · Acquisition

    Buy the plant company

Valuation certificate, share purchase, RBI filing within 60 days, and any lender or utility consents.

  6. 6 · Ownership

    Run it your way

We introduce vetted local O&M, security and compliance firms for you to manage, or we oversee them for you and report every month.

What you own

100% of the shares (or an agreed majority) of an Indian private limited company. Power generation allows 100% foreign ownership under the automatic route, so no government approval is needed, except for investors with beneficial owners in countries that share a land border with India.

What you sign

An advisory agreement with India Solar, through our Indian, EU or UAE company, with a fixed fee payable when the purchase completes. A share purchase agreement with the seller. After purchase, contracts with local O&M and security firms. We never hold your money.

Filings at purchase

Share valuation certificate at or above fair value and RBI form FC-TRS within 60 days of the transfer. After that, the annual company, tax and foreign-investment returns are filed by us or by a local chartered accountant we introduce, as you choose.

How money comes home

Dividends after Indian tax, interest on shareholder loans, or sale proceeds. Each is paid out through an authorised bank with the tax treaty rate for your country applied.
